Terms

1. Deliverables & Ownership

Client will own all paid-for custom website assets created by Camna, LLC (Camna) specifically for the Client. This includes bespoke design elements, layouts, and source code written by Camna.

Ownership does not include any third-party themes, plugins, services, or frameworks used to build or operate the website. These remain the intellectual property of their respective creators and are subject to their own license terms. The Client is responsible for maintaining valid licenses for any such third-party components.

Additionally, Camna retains ownership of its own internal tools, reusable code libraries, frameworks, and development methodologies that may be used in the course of the work. These may not be duplicated or redistributed outside the context of the work without written permission.

2. Third-Party Components

Client is responsible for maintaining valid licenses for all third-party themes, plugins, services, and stock assets used in the Project. Camna will advise on which licenses are needed and assist with configuration, but ongoing renewals and compliance fall to the Client.

3. Indemnification

Client agrees to indemnify, defend, and hold harmless Camna and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from:

• Content, trademarks, or assets provided by Client that infringe or violate any third-party rights;
• Failure to comply with laws governing privacy, data protection, eCommerce, accessibility (including but not limited to WCAG/ADA), or consumer protections;
• Any product liability, warranty, or representation related to items sold through the website;
• Unauthorized or illegal use of the site or associated tools by the Client or its customers.

4. Limitations of Liability

Camna does not warrant uninterrupted or error-free performance of the website and shall not be held liable for:

• Downtime caused by hosting, plugin conflicts, third-party services, or user error;
• Loss of profits, business interruption, or loss of data;
• Security breaches.

In all cases, Camna’s liability is limited to the amount paid under this agreement.

5. Confidentiality

Any proprietary or confidential information exchanged between the parties shall be kept confidential unless disclosure is required by law.
